To the maximum extent permitted by law:
StepX shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities, arising from or related to your use of our Site, materials, or consulting outcomes.
StepX’s total liability for any claim shall not exceed the total amount paid by you to StepX for the specific service giving rise to such claim.
All StepX deliverables and recommendations are provided “as is” without warranty of any kind, whether express or implied.
Consulting and advisory outcomes depend on client actions and external factors beyond StepX’s control. StepX makes no guarantees or representations regarding specific financial, operational, or academic results. You acknowledge that results vary by institution and context.
StepX maintains the highest confidentiality standards for all client information.
Confidential materials are not shared with third parties without written consent, except where required by law or to enforce these Terms.
StepX may use anonymized data or insights for research, analytics, or marketing, without revealing client identity.
Unless otherwise specified in a signed agreement:
All invoices are due upon receipt and are non-refundable once services have commenced.
StepX reserves the right to suspend or terminate services for late or incomplete payments.
Intellectual property and deliverables remain StepX property until full payment is received.
You agree to indemnify, defend, and hold harmless StepX Consulting, its owners, officers, employees, and affiliates from and against any and all claims, damages, liabilities, losses, or expenses (including reasonable attorney’s fees) arising out of:
Your misuse of StepX content or services;
Violation of these Terms; or
Any act or omission by you or your organization related to the use of StepX materials.
You agree not to:
Attempt unauthorized access to StepX systems or data;
Interfere with the Site’s security or functionality;
Use the Site to transmit malicious code or unsolicited messages;
Reproduce or redistribute StepX content for commercial gain.
StepX may restrict, suspend, or terminate access without prior notice for any misuse.
These Terms are governed by and construed under the laws of the State of Delaware, United States, without regard to its conflict of law rules.
Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction therein.
You waive any right to trial by jury or participation in a class action.
StepX shall not be liable for delays or failures in performance due to causes beyond its reasonable control, including natural disasters, war, cyberattacks, or governmental actions.
StepX reserves the right to terminate or suspend your access to the Site or services at its sole discretion, without notice, for conduct that violates these Terms or is otherwise harmful to StepX’s interests.
StepX may modify or update these Terms at any time. Continued use of the Site after such updates constitutes your acceptance of the revised Terms.
